About this Opportunity:

We are seeking an Assistant Corporate Secretary to join our corporate office located in Jacksonville. This is a hybrid opportunity with 3 days in the office and 2 days working remotely after the training period. This person will work with the General Counsel/Corporate Secretary, corporate and business groups across the company, the company’s Board of Directors and senior management, outside counsel and governance and corporate services advisors and vendors, as well as other stakeholders, on matters relating to public company governance, corporate affairs and compliance matters.

What You’ll Be Doing:

Public Company Governance.

Work with the General Counsel/Corporate Secretary in all facets of public company governance for the company, an S&P 500, Nasdaq-listed company, including:

  • Attending board and board committee meetings, to assist senior management and the Corporate Secretary in the orderly conduct and management of the meetings
  • Securities law and Nasdaq stock exchange rule and guidance research and compliance
  • SEC filing preparation, with primary responsibility (with the General Counsel/Corporate Secretary) for preparation of the annual proxy statement, and an active role in Form 8-K and Section 16 filings, as well as the Company’s Form 10-K, 10-Qs and Annual Report to Shareholders, as well as other filings as necessary or appropriate
  • Corporate record-keeping duties, including drafting resolutions and corporate minutes and maintaining accurate records and minute books for the publicly traded parent company and all subsidiary entities, which currently number over 500
  • Customary, essential functions attendant to public company operation, including working with the General Counsel/Corporate Secretary and Board leadership on Board member succession planning and recruitment assistance, preparation of D&O questionnaires, policy drafting, and preparation of materials for the annual shareholders’ meeting, and other meetings of the Board and its committees
  • As requested by Capital Markets and the General Counsel/Corporate Secretary, assisting with and participating in investor relations communications and events, as well as researching/advising on investor voting policies
  • Assisting with corporate responsibility initiatives and reporting
  • Oversight and maintenance of the on-line board portal (currently Diligent) used by management and the Board
  • Managing the onboarding and orientation of newly elected directors, including assistance in preparing and organizing director/management meetings, Section 16 filings, indemnification agreements, orientation, and board portal set-up
  • Assisting the General Counsel/Corporate Secretary in the annual board and committee self-assessment process, including preparation of survey documents
  • Managing the Company's relationships with proxy advisory firms (ISS and Glass Lewis), including annual peer group updates and data verification and review/analysis of proxy season reports
  • Researching and benchmarking policies and best practices in public company governance

Corporate Affairs.

Assist the General Counsel/Corporate Secretary and others in management with various corporate, capital markets, joint venture program and transactional matters, including:

  • Establishing and maintaining Regency’s legal entity database of (currently) about 500 legal entities under a web-based legal entity management system (currently GEMS)
  • Effecting entity formation, including name reservations, articles and operating agreement creation, official document filing, qualifications of entity as foreign corporation, assumed name filings, annual report filings, as well as handling entity dissolutions
  • Keeping of corporate and other records for all subsidiaries and related companies
  • Assistance in completing mergers, acquisitions, joint venture, dispositions and capital market (primarily debt issuances, financings and refinancings, and equity issuances) transactions, including securing or preparing corporate certificates, consents and exhibits documentation, SNDA and non-disclosure requests, resolutions and agreements, and performing due diligence
  • Review and drafting of corporate contracts and policies
  • Maintaining the Company's trademark tracking records
  • Working on quarterly updates to the corporate organizational chart, with the Tax team

Compliance and Special Projects.

Assist the General Counsel with compliance-related matters, including:

  • Researching and advising the Legal Department, management and business team members on issues involving state corporate law, commercial law matters and broker licensing
  • Participation in internal corporate committees, including the compliance and disclosure committees
  • Special projects, including certain task force involvement, including information, and management projects, policy development and drafting, and research projects, as directed by the General Counsel/Corporate Secretary
  • Managing the Company's annual report filing program (approximately 800 filings per year) across its legal entities

Are You Qualified?

Required

  • Bachelor’s Degree
  • Completion of paralegal training program or additional specialty coursework, developmental training and/or OTJ experience, with a focus on public company governance and/or corporate matters
  • Minimum 8 years of experience in public company governance and corporate law.
  • Previous law firm and/or in-house legal experience
  • Knowledge of public company governance and corporate practices, policies and requirements
  • Strong written communication skills, and experience drafting legal documents
  • Strong research and benchmarking capabilities
  • Strong analytical skills
  • Proficiency in Microsoft 365 and the Office suite of products, as well as SharePoint (or similar information and file sharing technologies)
  • Familiarity with corporate entity management technologies (such as GEMS) and board portal technology (such as Diligent).
  • Comfort and savvy with use of a variety of information management and database technologies, including ability to learn and adapt to changing technology solutions (e.g., cloud computing, AI)
